By accessing or using the website and services provided by ITSUP Ltd ("ITSUP", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our website or services.

2. Services

ITSUP provides IT solutions and services including, but not limited to, B2B web design and development, managed service provider (MSP) services, Starlink and WISP connectivity solutions, network installations, and IT audit and consultancy. The specific scope of services provided to each client will be defined in individual service agreements or statements of work.

3. Client Portal Access

Access to the ITSUP client portal is provided exclusively to authorised clients. By using the client portal, you agree to:

  • Maintain the confidentiality of your account credentials
  • Notify us immediately of any unauthorised access to your account
  • Accept responsibility for all activity that occurs under your account
  • Not share your login credentials with unauthorised individuals

4. Intellectual Property

Unless otherwise agreed in writing:

  • All content on the ITSUP website, including text, graphics, logos, and software, is the property of ITSUP Ltd and is protected by applicable intellectual property laws.
  • Client-specific deliverables and their intellectual property rights will be governed by the terms outlined in individual service agreements.
  • You may not reproduce, distribute, modify, or create derivative works from any content on our website without prior written consent.

5. Payment Terms

For clients engaging our services:

  • Payment terms, pricing, and schedules will be outlined in individual service agreements, quotes, or invoices.
  • Invoices are due within the timeframe specified on the invoice, typically 14 business days unless otherwise agreed.
  • Late payments may incur additional charges as specified in the service agreement.
  • ITSUP reserves the right to suspend services in the event of prolonged non-payment.

6. Service Level and Support

ITSUP endeavours to provide reliable and high-quality services. Specific service levels, response times, and support coverage will be defined in individual service agreements or service level agreements (SLAs). General website enquiries submitted through our contact form will be responded to within two (2) business days.

7. Limitation of Liability

To the maximum extent permitted by law:

  • ITSUP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services.
  • Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim in the twelve (12) months preceding the claim.
  • We do not warrant that our website will be uninterrupted, error-free, or free from viruses or other harmful components.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the business relationship. This includes, but is not limited to, business strategies, technical specifications, client data, and financial information. This obligation of confidentiality shall survive the termination of any service agreement.

9. Termination

Either party may terminate a service agreement in accordance with the terms specified therein. ITSUP reserves the right to suspend or terminate access to our website or client portal at any time if these Terms of Service are violated. Upon termination, clients will receive their project assets and data in accordance with the applicable service agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless ITSUP Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of our website or services, or your violation of these Terms of Service.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Solomon Islands. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Solomon Islands.

12. Changes to These Terms

ITSUP reserves the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page. Your continued use of our website or services after any changes constitutes acceptance of the revised terms.
